Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Sonifide, operated by Brand Breakers (“Sonifide,” “we,” “us”). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use Sonifide.

1. What Sonifide is — and isn’t

Sonifide is software that helps independent music creators organize ownership, splits, contracts, e-signatures, metadata, and registrations before a release goes live. Sonifide takes 0% commission on your music; we are a flat-rate subscription service.

Sonifide is not a law firm and does not provide legal, tax, or financial advice. We are not a performing-rights organization, publisher, distributor, or collection society. Tools that generate registration files or contracts are conveniences, not substitutes for professional advice or for filing with the relevant organizations yourself. You are responsible for the accuracy of the information you enter and for your filings.

2. Accounts & eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for keeping your credentials secure and for all activity under your account. Notify us immediately of any unauthorized use. Provide accurate information and keep it up to date.

You retain full ownership of your catalog, recordings, compositions, and all data you put into Sonifide. We claim no ownership of your music. You grant us a limited license to store, process, and display your content solely to operate and provide the service to you (for example, generating files, rendering your EPK, or sending documents for signature). You can export your workspace data at any time.

5. E-signatures

Sonifide supports electronic signatures on split sheets and contracts. By signing electronically, you intend to be legally bound to the same extent as a handwritten signature. We retain an audit trail (created, sent, viewed, and signed events with timestamps and IP addresses). You are responsible for ensuring the agreements you create and send are appropriate for your situation.

6. Acceptable use

You agree not to: violate any law or third-party right; upload content you don’t have the rights to; attempt to breach security or access other workspaces; reverse-engineer or resell the service; or use Sonifide to send spam or unlawful material.

7. Third-party services

Sonifide relies on third parties including Stripe (payments), Brevo (email), and the platforms you choose to register with. Your use of those services is subject to their terms. We are not responsible for third-party services we do not control.

8. Disclaimers

Sonifide is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any generated file will be accepted by a given organization.

9. Limitation of liability

To the maximum extent permitted by law, Sonifide and Brand Breakers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the service will not exceed the amount you paid us in the twelve months before the claim.

10. Termination

You may stop using Sonifide and close your account at any time. We may suspend or terminate access if you violate these Terms or to protect the service or other users. On termination you may export your data for a reasonable period, after which it may be deleted.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the service or by email. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Illinois.
